第3章 英文契約書の基本的構造と証書の作成方法

第1節 英文契約書の基本的構造
第1項 表題(Title)
表題はそれだけでは、法的拘束力を持つものではないが、契約の目的を明確にすることは有用である。また、他の同種の契約と区別できるようにその契約書の内容が特定できることが望ましい。たとえば売買であれば商品名を入れたり、融資契約であれば融資目的(プロジェクト名等)を入れたり、また同種の契約が多数ある場合には契約番号を入れたりして、将来の引用の便宜を図る。 SALES AND PURCHASE CONTRACT FOR ORE(Contract No.9912345)

第2項 前文の導入部
1. 当事者(Parties)の特定 契約上の権利・義務を有するものを特定することが出来なければならない。 個人の場合には名前・住所の記載により本人を特定しなければならない。 法人の場合には法人の正式名称・本店所在地住所(実際上の営業拠点でも可)・法人の種類(株式会社・有限会社・公開会社等、特にパートナーシップに注意)・設立準拠法(米国・カナダ等州法がある場合には州法まで)を記入する。

2.契約の日付(Signing Date) 実際に署名・調印した日を記入するのであるが、持ち回りで行い署名した日が違う場合には最後に調印・署名した日付を記入する。通常は契約締結日が契約発効日になるが、契約実行に政府の許可等が必要な場合等の場合、政府許可の取得日が契約(効力)発行日(Effective Date)であることを明記しておくことが望ましい。

3.契約締結地(Place of Signing) 準拠法・裁判管轄が定められていない時には、準拠法・裁判管轄決定の要素となりうる。なお文書の作成地が外国の場合には日本の印紙税は課税されない。 THIS AGREEMENT made in this_____day of __________ , 19__ , by and between(name of AGENT), a company duly organized and existing under the laws of(name of country ) and located at(address of AGENT)(hereinafter referred to as "AGENT") and A社XX CORPORATION, a company duly organized and existing under the laws of Japan and located at 4-5, ○○ 2-chome, Minato-ku, Tokyo 107-8655, Japan(hereinafter referred to as "A社" ).

第3項 前文の説明事項(RECITALS=WHEREAS CLAUSE=WITNESSETH)
Whereas Clauseとも呼ばれ、Whereasで始まるいくつかの文章で、契約締結にいたった経緯・当事者の詳しい説明、当事者のこの契約における希望・契約の目的等を記すものであるが、法的効力が無く、当事者を直接拘束することはない場合、全く省略されてしまうこともあるが、契約書の内容を理解し、文言の解釈を助ける為に多くの場合設けられている。 ただし、契約本文が曖昧であるため、本体の解釈の補助として使わざるを得ない場合、説明事項といえども真実と違うことを書いた場合には、紛争のきっかけとなることもある。契約の解釈を混乱させないためにも契約書本文と矛盾しないようにしなければならない。
WHEREAS, A社 is engaged in the business of exporting various products; and WHEREAS, AGENT represents and warrants that it has been engaged in the business of selling products in(name of territory ) and has maintained, and still maintains offices for that purpose in(name of territory) ; and WHEREAS, A社 is desirous of selling products in(name of territory), and, for that purpose, is desirous of hiring the services of AGENT. NOW, THEREFORE, in consideration of the promises and mutual covenants contained herein and for other good and valuable consideration, hereinafter set forth, the receipt of which is hereby acknowledged, it is agreed between the parties as follows:

第4項 契約期間(Term)
1.契約発効日
契約は原則として調印の日から有効となるが、当事者の合意により契約有効期間の始期を将来の一定の時点と定めることもできる。契約書冒頭に{This Agreement made by A and B on this ---day of January, 1998}と書かれている場合にはその日が契約期間の始期となる。なお、基本的にはこの日と契約締結日は同じ日にすべきである。

2.自動更新
継続的取引のような場合には、一定の時期までに当事者のいずれかより反対の意思表示がなければ、最初の契約期間が終了しても、契約期間は更に何年か自動的に延長されるとすることがよくある。
This Agreement shall be valid and in force for a period of(number )( __) years commencing on the date appearing on the first page of this Agreement upon the signing by both AGENT and A社 and shall be automatically renewed thereafter on a year-to-year basis, unless either of the parties hereto gives the other party at least thirty(30) days prior written notice to terminate this Agreement before the expiration of the original term or any such extension of this Agreement.

第5項 発効条件(Condition)
export license/import license、外資導入許可のような政府の許認可がなければ履行できない契約については、その許認可の取得を契約の発効条件とすべきであり、金融機関の融資を必要とする場合には、金融機関が融資を承諾することを契約の発効条件にすべきである。また、letter of credit(L/C)、 letter of guarantee(L/G)が必要な場合は、合意された内容のL/CやL/Gが交付された日が契約の発効日(effective date)とするのが普通である。 しかし、契約の発効についてそのような条件がついていたとしても、当事者は契約の発効前においてもそのような条件を充たすために誠実に努力すべき義務を負う。そのため一定の期間内にそのような条件が整わなければ契約は完全に効力を失うことを別に規定しておくことは有用である。
The obligations of the parties hereto under this Agreement are subject to obtaining of any and all required approvals, validations and licenses of government of Japan.

第6項 通知条項(Notice)
その契約に関する通知の方法や宛先、通知に用いる言語、通知の効力の発生時期等を規定する。ファックスやテレックスによる通知の場合は後で書面で確認するのが通常である。なおその通知の効力発生時期を送信時とするか到達時とするかを決めておくことは必要である。欧米では発信主義を取る場合が多い。
Any notice made in relation to this Agreement or performance thereunder shall be sent to the addresses first above written or such other address as the intended recipient previously shall have designated by written notice, by prepaid registered airmail written in English or facsimile including telex, followed by a confirmation letter by prepaid registered airmail. When the letter or facsimile is dispatched as provided for above, the notice shall be deemed to be made when the letter or facsimile arrives at the addressee, or if it fails or is delayed in arrival, on the seventh(7th) business day following the date of mailing thereof in the case of a letter, and on the next business day in the case of facsimile or telex.

第7項 契約譲渡(assignment)
契約上の権利・義務契約上の地位の譲渡は相手方の書面による承認がなければ出来ないことを規定した条項である。
Neither this Agreement nor any rights or obligations hereunder shall be assignable by either party hereto without prior written approval of the other party, and any attempted assignment without the express prior written consent shall be null and void.

第8項 不可抗力(Force Majeure)
天災地変(acts of God)、ストライキ、火災、法令による制限、その他当事者の支配できない(beyond of control)事情による義務不履行については、当事者は責任を負わないことを定めるための条項である。 どのような事情を当事者の支配できない事情とするかは当事者の合意によるが、 列挙されていない事項については、それが不可抗力にあたるか否かを争うこともあるので出来るだけ詳しく書いておくことが望ましい。 また注意すべきことは、英米法の基本原則ではもし不可抗力条項を入れなかった場合には、たとえ天災地変その他どのような事情があろうと、当事者は必ず契約を履行せねばならないとされることもあることである。契約の中に不可抗力による免責の規定を置くかどうかは、その規定により当社の立場は有利になるか不利になるかを十分検討してから判断しなければならない。
Any delay or failure of performance of any part or the whole of this Agreement by either party hereto shall be excused if and to the extent caused, directly or indirectly, by occurrences beyond such party's or parties' control, including, but not limited to, fire, flood, tidal wave, earthquake, lightning, typhoon, hurricane, cyclone, plague or other epidemic, explosion accident or breakdown, acts of God, war, blockade, embargo, seizure, threat of war, warlike condition, detention, insurrection, mobilization, riot, civil commotion, revolution, sanction, looting, strike, labor dispute, labor trouble, lockout, industrial disturbance, shortage or control of power supply, lack of the usual means of transportation, paA社, closing of exchanges, nationalization, prohibition of import or export, refusal by a government to issue approval or license or to remove any restriction with regard to this Agreement, hostilities, or any cause or causes, whether similar or dissimilar to those already specified, which cannot be controlled by such party or parties. If as a result of legislation or governmental action, any party or parties are precluded from receiving any benefit to which they are entitled hereunder the parties hereto shall review the terms hereof so as to restore the party or parties to the same relative positions as previously obtained hereunder. Written notice of occurrence of Force Major shall be given by the affected party to the other party with reasonable promptness.

第9項 事情変更(Hardship)
通常のforce majeure clauseでは、経済変動があったような場合には適用されないので、著しい経済変動等により当事者の義務の履行が困難になった場合には、当事者の義務の履行が緩和されたり、あるいは契約の改訂について協議を行うということを規定するhardship clauseを挿入することがふえてきている。
1) Should the occurrence of events not contemplated by the parties fundamentally alter the equilibrium of the present contract thereby placing an excessive burden on one of the parties in the performance of its contractual obligations, that party may proceed as follows:

2) The party shall make a request for revision within a reasonable time from the moment it become aware of the event and of its effect on the economy of the present contract. The request shall indicate the grounds on which it is based.

3) The parties shall then consult one another with a view to revising the contract an equitable basis, in order to ensure that neither party suffers excessive prejudice.

4) The request for revision does not of itself suspend performance of the contract.

5) If the parties fail to agree on the revision of the contract within time limit of 90 days of the request, the contract remains in force in accordance with its original terms.(or either party may bring the issue of revision before the arbitral forum, if any, provided for in the contract, or otherwise the competent courts.)

第10項 仲裁(Arbitration)
1.仲裁条項の書き方 契約の当事者は契約に関する紛争(dispute)について、仲裁によって解決する事を合意することができる。仲裁判断(award)が最終であり当事者を拘束すると規定した場合には、訴訟による紛争解決を主張することはできなくなる。 仲裁によって紛争を解決することに合意する場合は、どういう仲裁規則(Arbitration rule)に従って仲裁を行うか(あるいはどの機関の仲裁に関する規則によるか)ということと、何処で仲裁を行うかということを、明確にしておかなければならない。日本の仲裁機関としては日本商事仲裁協会(英文名:Japan Commercial Arbitration Association)、アメリカの仲裁機関としてはAmerican Arbitration Association(AAA)そして国際的な機関としてはパリに本部のあるInternational Chamber of Commerce(ICC)があり、それぞれがモデル条項を出している。

日本商事仲裁協会のモデル仲裁条項
All disputes, controversies or differences which may arise between the parties, out of or in relation to or in connection with this Agreement, or the breach thereof, which cannot be resolved by the parties after discussion in good faith attempting to reach an amicable solution, shall be finally settled by arbitration in Tokyo, in accordance with the Commercial Arbitration Rules of The Japan Commercial Arbitration Association. The award of the arbitrator(s) shall be final and binding upon the parties hereto.

AAAのモデル仲裁条項
Any controversy or claim arising out of or relating to this contract, or the breach thereof, shall be settled by arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association, and judgment upon the award rendered by the Arbitrator(s) may be entered in any Court having jurisdiction thereof.

ICCのモデル仲裁条項
All disputes arising in connection with the present contract shall be finally settled under the Rules of Conciliation and Arbitration of the International Chamber of Commerce by one or more arbitrators appointed in accordance with the said Rules.

2.仲裁のメリット・デメリット 仲裁は訴訟に比べ費用が安く迅速であることが多く、また公開性でないので秘密維持がはかれることがメリットと言える。しかし、仲裁人が法律家でないときには、契約書の解釈・法律の適用等についての論理的判断が担保されない可能性があることや、仲裁人が予断や偏見を持っていることもあることを考慮することも必要である。なお仲裁判断の執行に関する条約を締結していない国では仲裁判断に基づいて強制執行ができるかどうか判らないことに留意する必要がある。

3.仲裁判断の執行(enforcement)
仲裁判断が出ても相手方が自発的に払ってこない場合には、相手方の資産が存在する国で仲裁判断を執行する必要がある。この場合資産の存在している国が1927年ジュネーブ条約、1958年ニューヨーク条約に加盟していること、もしくは二国間条約が成立していることが条件となるので、仲裁条項を選択する場合には相手方の国、相手方の資産が存在する国が上記条約に加盟しているか否かを調査しておく必要がある。 上記条約に入っていない場合には訴訟を選ばざるを得ないし、通常は国際的信用維持の為、自発的に仲裁判断を履行すると考えるが、自発的履行を望めない場合にも訴訟の方が二度手間にならない。

第11項 準拠法(Governing Law)
契約の成立(formation)、効力(validity)、解釈(construction)、履行(performance)がどの法律に準拠するかを定める。アメリカのような連邦国家の場合はアメリカ法によるとしただけでは不十分で、どの州の法律によるかを定めなければならない。準拠法は一つとすべきで、例えば日本の会社とニューヨークの会社が取引をする契約で、準拠法を日本法およびニューヨーク州法と定めることはできない。 準拠法について合意できない場合は妥協策として準拠法については何も定めずにしておくこともある。この場合、準拠法は、裁判所が当事者の合意、当事者の住所、契約締結のための協議が行われた場所、契約の締結地、履行地等を考慮して決定することになる。 契約の準拠法は我々がよく知っている法律の方がよいから、日本法を提案することが多いが、外国で訴訟となった場合には、裁判官に対して日本法の内容を説明するために時間と費用を要するという問題があるので、準拠法を日本法とする場合には裁判管轄(jurisdiction)も日本にした方がよい。 日本では当事者自治の原則(意思主義)が定められているので当事者の合意により準拠法を決定できるが、意思主義を取らない国(客観主義)もある。客観主義の場合には契約の締結地・履行地・債務者の本国地などが準拠法を決めるための要素となる。そのため準拠法選定にあたっては、裁判管轄地の国際私法(日本では法例)の確認が必要である。
This Agreement shall be governed by and construed in accordance with the laws of Japan.

第12項 裁判管轄
契約当事者は、紛争が発生し訴訟する場合に、どこの裁判所で訴訟するか、即ち裁判管轄について予め合意しておくことがてきる。しかし当事者が契約とは何の関係もない裁判所を中立であるから合意しても、その裁判所が受付けてくれるとは限らないので、裁判管轄について合意をする場合には、その裁判所がその契約に関する訴訟を受付けてくれるがどうが、予め確かめておくことが必要である。 裁判管轄地を決めるにあたって考慮しなければならないことは、準拠法と連動しているか、裁判制度が信頼できるか、その地でいい弁護士を選任できるか、相手方と比べて距離的に遠くないか、最終判決までにかかる時間は妥当か、執行は可能か等である。
The parties hereby consent to the sole and exclusive jurisdiction of the district courts located within Tokyo, Japan(hereinafter referred to as "Tokyo Court) notwithstanding that this Agreement may have been negotiated and/or signed in, or by a resident of, any other state or foreign country, and further, agree that if an action is commenced in any other jurisdiction, then on the request of(and sole option of) XYZ, the parties shall cause a dismissal or transfer of the action to the Tokyo Court.
裁判管轄地の合意ができない場合、被告地主義を採用する場合がある。これは訴えるほうが相手の地に乗り込んで裁判を起こすということである。基本的な文例を下記する。
All disputes that may arise between the parties out of or in relation to this contract shall be settled by the district courts located within the city in which the defendant resides, unless otherwise agreed between the parties.

第13項 契約の分離(Severability)
契約の一部の条項が独禁法その他の強行法規もしくは政府の指導により当該国で違法となり履行できなくなった場合、当該条項だけが無効となり契約書の他の部分の有効性には影響しないための条項。
The provisions of this Agreement shall be deemed to be severable, and anyinvalidity of any provision of this Agreement shall not affect the validity of the remaining provisions this Agreement.

第14項 権利の非放棄(NoWaiver of Rights)
契約法上は本来有している権利でも、それを行使しないと権利放棄したと見なされる場合がある。例えば、一方の当事者が不履行を起こした場合、他の当事者はそれを理由として契約解除等を請求できる。しかし、その不履行が些細なものであったり、当該時点で契約を解除するのが得策でないと判断した場合にはその不履行をとがめないことを選択することがあるが、とがめないことが権利の上にあぐらをかくことになり、将来契約解除を行おうとしたときに、その権利を放棄したと看做される危険がある。そこで不履行をとがめるための権利を行使しなかったとしても、その権利を放棄したものでは無いということを明確にするために本条項を置く。
The failure of either party hereto to enforce at any time any of the provisions hereof shall not be construed to be a waiver of such provisions or of the right of such party thereafter to enforce any such provisions. No waiver by either party hereto of any right hereunder or of any right on failure to perform or breach by the other party shall be deemed as a waiver of any other right hereunder or of any right on any other failure or breach by such other part whether of a similar nature or otherwise.

第15項 使用言語
二つ以上の言語を用いて契約書を作成する場合には、その解釈について差違が生じた場合には、いずれの言語による正本の方を優先するかを記載する。
This Agreement shall be executed both in English and in Chinese, but in the event of any difference or inconsistency between the version of this Agreement, the English version shall prevail in all respects.

第16項 見出し(Heading)
見出しは利便性のためにあり、契約書の解釈には直接影響を与えないことを規定する。
The headings in this Agreement are for purposes of convenience only and shall not limit or otherwise affect any of the terms or provisions hereof.

第17項 完全合意(Entire Agreement)
この契約は当事者間のすべての合意を記載したものであり、これまでのすべての合意(口頭であれ書面であれ)にとって代る(Supersede)ものでありまた、当事者間の書面による合意がなければ修正できないことを規定する。
This Agreement contains the entire agreement and understanding of the parties hereto with respect to the subject matter of this Agreement, and supersedes all prior discussions, agreements, understandings of any and every nature, whether written or oral, between the parties with respect to the subject matter of this Agreement, and no condition, definition, warranty or epresentation other than expressly provided for in this Agreement with respect to the subject matter of this Agreement shall be binding upon either party hereto. Any amendment, modification, change or alteration of this Agreement shall be made in writing which expressly refers to this Agreement and which is signed by a duly authorized officer or representative of the parties hereto.

第18項 最終部分(末尾文言)
契約書の末尾に、契約を証するため書面を作成することを記載する。 IN WITNESS WHEREOF the parties hereto have on the day and year first above written caused this Agreement in duplicate to be executed by their duly authorized officers or representatives.
